Job Summary The Chief Financial Officer (CFO) provides strategic financial leadership and oversight of Secuna Software Technologies, Inc.'s overall financial management, planning, and governance. The CFO ensures the integrity of financial reporting, effective financial controls, regulatory and accreditation compliance, and sound financial decision-making aligned with the Company's business objectives and long-term growth strategy as a cybersecurity — vulnerability assessment and penetration testing (VAPT) — services provider serving enterprise, government, and startup clients. As a member of senior management, the CFO partners closely with the Chairman & President/CEO, department heads, and external stakeholders to drive financial sustainability, risk management, and operational efficiency. As Group CFO, the role also oversees the financial management, statutory reporting, and tax compliance of the Secuna group — Secuna Software Technologies, Inc. (Philippines), Secuna Software Technologies Pte Ltd (Singapore), and the Company's United States entity — ensuring strong compliance with Philippine laws and the Company's DICT and PHILGEPS accreditation, with Singapore requirements administered by ACRA and IRAS, and with United States federal and state (Delaware) obligations. Key Responsibilities 1. Financial Strategy & Leadership Lead the development and execution of the Company's financial strategy to support business growth, profitability, and long-term sustainability. Provide strategic financial advice and insights to the Chairman & President/CEO and senior management to support decision-making, investments, pricing, and business initiatives. Translate financial data into clear, actionable insights and recommendations for management and the Board (if applicable). Contribute to corporate strategy, expansion (including international operations), and new-service or product-line decisions from a financial and value-creation perspective. 2. Financial Management & Oversight Oversee all financial functions, including accounting, budgeting, forecasting, treasury, tax, billing/collections, and financial reporting. Ensure timely and accurate preparation of financial statements in compliance with Philippine Financial Reporting Standards (PFRS) and applicable regulatory requirements. Review and approve key financial reports, analyses, and forecasts prepared by the Accounting Manager and finance team. Maintain the integrity, completeness, and auditability of the Company's books of accounts and financial records. 3. Regulatory Compliance, Government Accreditation (DICT & PHILGEPS) & External Engagement Ensure the Company's financial and corporate compliance with Philippine regulators — the Securities and Exchange Commission (SEC), the Bureau of Internal Revenue (BIR), the Department of Labor and Employment (DOLE), and the National Privacy Commission (NPC) — including accurate, timely filings and payments. Maintain the financial and documentary requirements for the Company's DICT accreditation (e.g., the DICT-Trusted Assessment Provider / D-TAP Program), ensuring financial-capacity, reportorial, and eligibility requirements are satisfied and renewed on schedule. Oversee PHILGEPS registration and eligibility (including Platinum membership, audited financial statements, tax clearance, and the Net Financial Contracting Capacity (NFCC)) so the Company can register for and bid on government projects. Lead the Finance and Accounting teams during external financial audits, BIR tax examinations, client and enterprise financial/vendor due-diligence reviews, and certification audits (e.g., ISO/IEC 27001, SOC 2) to the extent they require financial documentation, controls evidence, and management responses. Act as the primary Finance representative in regulator, accreditation, and procurement engagements (DICT, PHILGEPS, SEC/BIR) and in client vendor-accreditation reviews, coordinating with Legal/Compliance and senior management. Oversee the preparation, validation, and submission of financial-related regulatory and accreditation reports, management responses, and corrective action plans arising from audits, examinations, or accreditation reviews. Ensure that financial policies, procedures, and controls are aligned with approved governance frameworks, DICT/PHILGEPS requirements, and the Company's cybersecurity-services business model. Monitor regulatory and government-procurement developments (GPPB/PHILGEPS rules, DICT issuances, BIR regulations, and data-privacy requirements) impacting financial operations, and proactively recommend policy updates, control enhancements, or process improvements. 4. Group & Multi-Jurisdiction Financial Compliance (Philippines, Singapore & United States) Group and consolidation: Oversee the financial management, statutory reporting, and tax compliance of all Secuna group entities — Secuna Software Technologies, Inc. (Philippines), Secuna Software Technologies Pte Ltd (Singapore), and the Company's United States entity — and prepare consolidated group financial statements. Establish consistent group accounting policies, intercompany agreements, and a documented, arm's-length transfer-pricing framework across the Philippines (BIR), Singapore (IRAS), and the United States (IRS). Manage group cash, intercompany funding, and multi-currency (PHP / SGD / USD) treasury and foreign-exchange exposure. Maintain a group compliance calendar covering all statutory and tax deadlines across the three jurisdictions, and engage local auditors, tax agents, corporate secretaries, and counsel in each. Singapore — ACRA (Accounting and Corporate Regulatory Authority): Ensure the Singapore entity's compliance with ACRA and the Singapore Companies Act — timely filing of the Annual Return, holding of the Annual General Meeting (or valid dispensation), and filing of financial statements (in XBRL where required). Maintain statutory registers, including the register of registrable controllers and nominee directors, and keep the entity in good standing with the appointed corporate secretary and local resident director. Ensure financial statements are prepared under the Singapore Financial Reporting Standards (SFRS) and liaise with the Singapore auditor where an audit is required. Singapore — IRAS (Inland Revenue Authority of Singapore): Ensure IRAS compliance, including submission of the Estimated Chargeable Income (ECI) and the annual Corporate Income Tax return (Form C-S / Form C), and timely tax payment. Manage Goods and Services Tax (GST) registration and periodic GST returns where the entity is or becomes liable, and withholding tax on applicable cross-border payments. Administer Singapore employment-tax obligations (e.g., CPF contributions for local employees and IR8A / IR21 income reporting) in coordination with HR/payroll. United States entity (IRS & Delaware): Ensure US federal and state compliance, including IRS federal income-tax filings (e.g., Form 1120 for a C-corporation) and applicable information returns. Maintain Delaware corporate compliance — the annual report and franchise-tax filing, a registered agent, and good standing — and any state registrations where the entity has nexus. Manage US state and local tax obligations (income/franchise and sales/use tax where applicable) and US payroll-tax compliance if US employees are engaged. Address cross-border matters affecting the group, including transfer pricing, FATCA/withholding, and any foreign-account (FBAR) reporting. 5. Governance, Risk & Internal Controls Establish, implement, and maintain robust financial governance frameworks, internal controls, and policies to safeguard Company assets and support regulatory and accreditation compliance. Ensure consistent application of approved financial, treasury, pricing, margin, and expense policies across the organization. Identify financial, liquidity, operational, and compliance risks and implement mitigation strategies in coordination with the Risk Management and Compliance/Legal functions. Lead coordination with external auditors, regulators, accreditation bodies, and tax advisors, in collaboration with management. Maintain adequate segregation of duties and approval authorities within the finance function. 6. Budgeting, Forecasting & Performance Management Lead the annual budgeting process and periodic financial forecasting exercises. Monitor financial performance against budgets and forecasts, identifying variances and recommending corrective actions. Drive cost management, efficiency improvements, and resource optimization across the organization. Develop and track key financial and unit-economics metrics (e.g., gross margin per engagement, utilization, recurring-revenue growth) relevant to a services and subscription business. 7. Cash Flow & Treasury Management Oversee cash-flow planning, liquidity management, working-capital, and funding requirements, including monitoring cash runway. Ensure the Company maintains adequate working capital to support operations and growth, including managing client billing, collections, and receivables. Evaluate financing options and manage relationships with banks and financial institutions; manage foreign-currency exposure arising from international clients and offices, where applicable. 8. Revenue, Pricing & Contract Finance Support the pricing and financial structuring of pentest, subscription, bug-bounty, and other service offerings to protect margins and competitiveness. Oversee revenue recognition for projects and subscriptions in line with PFRS. Provide financial costing, NFCC computation, and bid-financial support for government and enterprise proposals, including PHILGEPS-eligible tenders. Review contract commercial terms (payment milestones, credit terms, penalties) for financial soundness in coordination with Legal. 9. Fundraising, Investor & Stakeholder Relations Support fundraising, investment, and capital-raising activities, including preparation of financial models, projections, and data-room materials. Manage relationships and reporting with investors, lenders, and other financial stakeholders, ensuring transparency and timeliness. Advise management on capital allocation, unit economics, and financial readiness for scaling or strategic transactions. 10. Systems, Processes & Continuous Improvement Oversee the evaluation and enhancement of financial systems, processes, and tools (e.g., accounting/ERP and billing systems) to improve efficiency, accuracy, and scalability. Support automation and process improvements in collaboration with the Accounting Manager, IT/Engineering, and other departments. Champion sound data handling and security within the finance function, consistent with the Company's information-security posture and the Data Privacy Act. 11. People Management & Development Directly supervise and manage subordinates within the finance function — including the Accounting Manager and finance staff across the group — setting objectives, delegating work, monitoring performance, and conducting regular performance reviews. Provide leadership, coaching, and clear direction to the finance team, and address performance and conduct matters in coordination with HR. Promote a culture of accountability, professionalism, integrity, and continuous improvement within the finance function. Support talent development, succession planning, and capability building within the finance organization. 12. Other Duties Perform any additional tasks, projects, or responsibilities that may be assigned by the Chairman & President/CEO or the Board from time to time, consistent with the role and the needs of the business. Qualifications & Experience Certified Public Accountant (CPA) required; a Master's degree or MBA in Finance, Accounting, or a related field is an advantage. At least ten (10) years of progressive finance and accounting experience, with a minimum of five (5) years in a senior finance leadership role (CFO, Finance Director, or Controller). Experience in a technology, SaaS, cybersecurity, or professional-services company, and/or in a startup or scale-up environment, is strongly preferred. Working knowledge of Philippine government procurement (PHILGEPS/GPPB) and DICT accreditation requirements is a distinct advantage. Strong command of PFRS, Philippine taxation, and corporate compliance (SEC/BIR/DOLE), as well as data-privacy obligations. Budget variance and forecast accuracy; achievement of margin and cost-efficiency targets. Cash-flow health and adequacy of runway/working capital across the group. Clean external audits, good standing of all group entities, and successful accreditation/eligibility renewals (DICT, PHILGEPS). Strength of financial controls (no material control deficiencies) and finance-team development outcomes.
