Position Overview We are seeking a versatile, highly dependable, and commercially minded Legal Counsel on retainer to provide ongoing legal support for Xelure’s staff leasing, recruitment, and professional services business. The ideal counsel can independently handle commercial contracts, employment and labor matters, corporate and regulatory compliance, and legal risk management, including drafting and reviewing client agreements, employment documentation, company policies, and other business contracts. This person should have experience advising a BPO, staff leasing/offshore staffing, EOR, recruitment, technology services, or similar organization, with a strong understanding of Philippine employment and commercial laws and sufficient knowledge of international employment and contracting practices to support Xelure’s global client relationships. Key Responsibilities Draft, review, and update MSAs, Work Orders/SOWs, NDAs, employment agreements, contractor agreements, and other commercial contracts. Review and negotiate client contractual terms and identify legal and commercial risks. Advise Xelure on Philippine employment and labor matters. Provide guidance on HR policies, employee relations, disciplinary matters, termination, and other employment issues. Advise on relevant Philippine tax, corporate, data privacy, and regulatory considerations. Review and update company policies, employee documentation, and standard contract templates. Provide practical legal guidance to management as business issues arise. Support client negotiations and compliance-related requests. Advise management on general employment and commercial considerations involving international clients and identify matters requiring foreign/local counsel. Qualifications JD or LL.B. and a member in good standing of the Philippine Bar. 7+ years of relevant legal practice. Strong experience in employment/labor law and commercial contracts. Experience advising BPO, staff leasing, EOR, recruitment, professional services, or technology organizations is strongly preferred. Strong working knowledge of Philippine labor regulations, DOLE requirements, commercial law, and corporate compliance. Working knowledge of Philippine tax considerations relevant to employment and service arrangements. Experience drafting and negotiating MSAs, SOWs/Work Orders, NDAs, employment contracts, and related agreements. Strong commercial judgment and ability to provide practical rather than purely theoretical legal advice. Preferred: Experience supporting organizations serving clients in the US, UK, Canada, and Australia. General familiarity with employment classifications, contractor arrangements, employment standards, confidentiality/IP, and common commercial practices in these jurisdictions. Experience coordinating with foreign counsel where jurisdiction-specific advice is required. Admission to practice in the US, UK, Canada, or Australia is not required. Work Location: Remote
